AGREEMENTS AND TERMS OF SERVICE

Contract Validity: 2026-2028Clearance Level: Public

1. Specialized Licensing Restriction (B2B / B2G)

The use, deployment, and access to VANSYNT's biometric and algorithmic engines is strictly reserved for verified corporate and government entities requiring tactical intelligence and risk assessment. Licensing is available for, but not limited to: technology and industrial corporations, financial institutions, insurance agencies, law firms and consulting legal practices, high-level human resources departments, as well as state security agencies, law enforcement, and scientific and criminal investigation units. VANSYNT reserves the unilateral right to audit use cases, reject deployments, or quarantine any request coming from the general public, civil sector, or unverifiable entities.

2. Decision Support and Hold Harmless

VANSYNT does not issue judgments of guilt or legal verdicts. The system generates a Forensic Incongruence Index (FII) based on the convergence of the OMEGA Matrix. The Client acknowledges that Artificial Intelligence is a decision support tool and assumes full responsibility for the use of such results. The Client agrees to hold VANSYNT harmless against any claim, loss, or C2C litigation arising from the use of the software. VANSYNT's maximum cumulative financial liability will never exceed the total amount paid by the Client for the software license during the twelve (12) months prior to the event giving rise to the claim.

3. Capture Responsibility and Biometric Consent

VANSYNT operates as a blind data processor. The operational Client assumes the absolute, total, and non-delegable responsibility of obtaining express, informed, and written consent from the subjects undergoing analysis (audited), in accordance with local, state, or federal laws (including, but not limited to, biometric privacy laws such as BIPA). The Client certifies that no audio or video capture introduced into the OMEGA Matrix has been obtained surreptitiously or illegally.

4. Technological Classification and Labor Legislation

VANSYNT is not, and should not be classified or marketed internally by the Client as a traditional polygraph, infallible lie detector, or medical device. The platform is an engine for analyzing algorithmic stress and communication anomalies. The Client assumes all legal risk if they choose to use VANSYNT's reports as a binding or sole factor for contract terminations, denial of employment benefits, or criminal proceedings.

5. Infrastructure Integrity

Any attempt to intercept data packets between the Capture Terminal and the OMEGA Core, the injection of malicious data, or the manipulation of the SHA-256 Signatures of the reports, will result in the immediate revocation of the license without right to a refund. Incidents will be tracked, neutralized, and reported to the competent authorities for corporate espionage.

6. Jurisdiction and International Arbitration

Any dispute arising from the operation of VANSYNT shall be resolved exclusively through binding International Arbitration, under the rules of the International Chamber of Commerce (ICC), with the parties waiving any other local jurisdiction. The language of the arbitration proceeding shall be Spanish or English, at the choice of the parties, and the award issued by the arbitral tribunal shall be final, binding, and unappealable for both parties.

7. Ethical Use and Dual-Use Prohibition

VANSYNT is designed exclusively for legitimate forensic investigations, corporate audits, and risk analysis within the framework of the Rule of Law. The use of VANSYNT for political persecution, human rights violations, mass surveillance without consent, ethnic or religious discrimination, or any activity contrary to the principles of International Humanitarian Law is strictly prohibited. The Client agrees that any use in contravention of this clause constitutes grounds for immediate termination of the license without right to a refund, without prejudice to legal actions and complaints before international human rights organizations that VANSYNT may file.

8. Intellectual Property and Prohibition of Reverse Engineering

The OMEGA biometric algorithm, the Artificial Intelligence models, the Forensic Incongruence Index (FII) calculation formulas, and the entire VANSYNT processing architecture constitute protected trade secrets. The Client expressly agrees NOT to: (a) decompile, disassemble, or reverse engineer the software; (b) attempt to extract, copy, or replicate the AI models; (c) share the software with unauthorized third parties; or (d) use the software as a basis or reference to develop competing products. Violation of this clause carries civil and criminal liability for misappropriation of trade secrets.

9. Limitation of Liability and Maximum Damages

In no event shall VANSYNT's total and cumulative liability to the Client, for any cause and under any legal theory, exceed the total amount paid by the Client in the twelve (12) months preceding the event that gave rise to the claim. VANSYNT shall not be liable under any circumstances for indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of revenue, loss of data, reputational damage, or business interruption.

10. Updates, Maintenance, and System Evolution

VANSYNT reserves the right to issue software updates that modify analysis parameters, biometric thresholds, or functionalities. Security updates are mandatory. VANSYNT does not guarantee backward compatibility of reports generated with previous versions of the software. The Client is responsible for keeping their installation up to date.

11. Termination, Revocation, and Operational Continuity

VANSYNT reserves the right to unilaterally revoke a license, without prior notice and without refund, upon evidence of: (a) unauthorized or fraudulent use; (b) violation of any clause of this agreement; (c) attempt to transfer the license to unauthorized hardware or HWID manipulation. Upon revocation, the Client has 72 hours to export existing reports, after which access will be permanently blocked via the deactivation protocol.
